Marketplace Vendor Terms & Agreement

1. Introduction This Vendor Agreement ("Agreement") is entered into by and between [Vendor Name] ("Vendor") and Viewme Global ("Viewme") for the sale of products through the Viewme platform located at https://viewme.global.

2. Product Listings

Physical Goods: Vendor agrees to list and sell physical products through the platform.
Digital Goods: Vendor may also list and sell digital products, such as software, music, or eBooks.

3. Sales and Commissions

Commission: Viewme will retain a commission of 9% on the total sale price of each product sold through the platform.
Payment: Payments to the Vendor will be processed after the commission has been deducted.

4. Shipping

Responsibility: The Vendor is solely responsible for the packaging, shipping, and delivery of physical goods to customers.
Shipping Information: Accurate shipping times and costs must be provided by the Vendor when listing products.

5. Returns and Refunds

Return Policy: Customers have the right to return any physical product within 18 days from the date of receipt for a full refund, excluding the shipping costs.
Digital Goods: Returns for digital goods are at the discretion of the Vendor and must be clearly stated in the product listing.

6. Tax

Sales Tax: The Vendor is responsible for any sales tax collection, reporting, and remittance related to their sales on Viewme. Viewme does not collect sales tax on behalf of Vendors.

7. Financial Terms

Minimum Payout: Vendors can transfer funds to their wallets and request a payout once their account balance reaches a minimum of $45. Payments will be processed within 30 days from the date of request or when this threshold is met, whichever is later.

8. Vendor Conduct

Vendors must adhere to all laws and regulations applicable to their products and sales. This includes but is not limited to, consumer protection laws, data privacy laws, and intellectual property rights.

9. Intellectual Property

Vendor represents and warrants that they have the right to sell the products listed on Viewme and that all listings do not infringe upon any third-party rights.

10. Termination

Either party may terminate this Agreement at any time with a 30-day written notice. Upon termination, Viewme will pay out any remaining balance due to the Vendor within 60 days, provided it meets the minimum payout threshold.

11. Dispute Resolution

Any disputes under this Agreement will be resolved through mediation in Los Angeles, California, unless otherwise agreed upon by both parties.

12. Amendments

Viewme may amend this Agreement from time to time by posting the updated terms on the site. Continued use of the platform following such changes constitutes acceptance of those changes.

13. Governing Law

This Agreement shall be governed by the laws of the United States, specifically the state where Viewme is headquartered.

14. Acceptance By listing products on viewme.global, the Vendor agrees to be bound by the terms of this Agreement.

Marketplace Vendor Penalties

a. Vendor Penalties

Late Shipment: If a Vendor fails to ship an item within the timeframe promised in the listing, they may be subject to a penalty of 5% of the order value per day of delay, up to 20% of the order value.
High Return Rate: If the return rate for a Vendor's products exceeds 15% in any given month, Viewme may impose a processing fee of 2% on all subsequent sales until the return rate stabilizes.
Non-Compliance with Policies: Violation of Viewme's policies, including but not limited to, listing fake or counterfeit goods, may result in a penalty of up to 50% of the Vendor's account balance, removal of product listings, or suspension of the account.
Customer Service Failures: If customer complaints about service or product quality reach a notable frequency, Viewme may issue warnings, followed by penalties starting at 10% of the transaction value for each unresolved complaint.

b. Termination

Either party may terminate this Agreement at any time with a 30-day written notice. Upon termination, Viewme will pay out any remaining balance due to the Vendor within 60 days, provided it meets the minimum payout threshold. However, termination by Viewme may be immediate if penalties are repeatedly incurred or if there is a gross violation of terms.

c. Dispute Resolution

Any disputes under this Agreement will be resolved through mediation in [Los Angeles, California], unless otherwise agreed upon by both parties.

d. Amendments

Viewme may amend this Agreement from time to time by posting the updated terms on the site. Continued use of the platform following such changes constitutes acceptance of those changes.

f. Acceptance By listing products on viewme.global, the Vendor agrees to be bound by the terms of this Agreement.

Vendor Cashout Guidelines and Terms for Viewme Global Marketplace

1. Transaction Fee:

Product Purchase Transaction Fee: For each product sold on Viewme.one, a 3.3% transaction fee will be automatically deducted from the sale amount before it is added to your earnings balance. This fee covers payment processing, platform maintenance, and support services.

2. Cashout Fee:

Cashout Fee: When you decide to withdraw your earnings, a 9% fee will be applied to the total amount you wish to cash out. This fee helps cover the costs associated with transaction processing, currency conversion (if applicable), and transfer fees. Cashout fees ONLY applies to when a member transfers their marketplace vendor earnings to their own ViewMe Global Wallets.

3. How to Cash Out:

Log into your Viewme.global account.
Navigate to the ‘Earnings’ section.
Click on ‘Request Cashout’.
Enter the amount you wish to withdraw (minimum cashout amount may apply).
Review the fee calculation and confirm your request.

4. Fee Calculation Example:

Example: If your total earnings are $100, and you wish to cash out the entire amount:
- 3.3% Transaction Fee on Sales: $1 (from total sales before this example, not included in cashout calculation)
- Cashout Amount: $100
- Cashout Fee (10%): $9
- Amount You Receive: $91

5. Payment Processing Time:

After your cashout request is processed, expect the funds to reach your bank account with PayPal or Skrill within 5-7 business days. International transfers might take longer.

6. Minimum Cashout Threshold:

There is a minimum threshold of $27 for initiating a cashout. Earnings below this amount will remain in your account until you meet or exceed this threshold.

7. Currency:

All transactions and earnings are calculated in USD. If your bank account uses a different currency, conversion rates will apply, and you might incur additional fees from your bank.

8. Tax Information:

Vendors are responsible for understanding and fulfilling their own tax obligations. Viewme.global does not withhold taxes from your earnings.

9. Changes to Fees:

Viewme.one reserves the right to modify fee structures with prior notice. Vendors will be informed of any changes via email or through the platform’s notification system.

10. Dispute Resolution:

Any disputes regarding fees or transactions should be addressed through the ‘Contact Support’ feature in your vendor dashboard.

By selling on Viewme.global, you agree to these terms. These fees are designed to ensure the platform remains sustainable while providing you with a straightforward and beneficial marketplace to sell your products.
